Terms and Conditions
These are the terms and conditions for the Bapcor "Hamper Promotion".
Definitions
In these Terms and Conditions unless the context otherwise requires:
- "Hamper Promotion", means the promotion operated by Bapcor and its agents for the business/trade customers of Bapcor Limited.
- "Bapcor" refers to Bapcor NZ Limited, its subsidiaries and Business Units with which the participant has an account.
- "Business Units" refers to the following Bapcor companies: Brake & Transmission NZ Ltd [T/A BNT and Autolign], and Truck & Trailer Parts.
- "Bapcor Leadership Team" means a group of appointed decision makers within Bapcor as determined by Bapcor from time to time.
- “Hamper Promotion", "Manager", or "Promotion Manager" means the person/entity who oversees and manages the “Hamper Promotion", as appointed by Bapcor from time to time.
- "Terms and Conditions" means these terms and conditions and any other terms and conditions referred to in these Terms and Conditions which are deemed to form part of these Terms and Conditions, including all normal Bapcor, and its subsidiaries, Trading Terms and Conditions found on the trading entity website.
- "we", "us", or "our" means Bapcor Limited trading as Bapcor.
- Target spend level indicates the individual spend figure to be eligible for the hamper rewards.
- Target indicates the value required for achievement of a reward in the "Hamper Promotion".
The promoter of the Promotion is Bapcor New Zealand Limited (NZBN 9429040798745) of C/- TMF Group, Level 11, 41 Shortland Street, Auckland 1010, New Zealand (Promoter). The Promoter, together with its subsidiaries and associated Business Units (including Brake & Transmission Ltd [T/A BNT and Autolign], and Truck & Trailer Parts), are referred to in these Terms and Conditions as Bapcor.
The opportunity to participate in this Promotion will be offered by the Promoter to New Zealand business/trade customers of Bapcor. Participants must have a current Bapcor trading account to be able to participate in the Promotion. Sales made under cash sale account(s) are not eligible.
The Promotion starts at 12.01am on the 1st of March 2025 and ends at 11:59pm on the 31st of March 2025 (Promotion Period). If permitted by Bapcor's standard trading terms, participants may return a Bapcor product that was purchased during the Promotion Period provided that all eligible product returns must be made no later than 4th of April 2025 for March 2025 invoices following the completion of the Promotion Period (Returns Period) and strictly in accordance with those standard trading terms. No returns will be accepted after this date to ensure the Promoter can accurately ascertain Reward eligibility.
Reward allocation will take place for March 2025 invoices in mid-April 2025 (Reward Allocation Date) and Participants will be notified if they have earned a Reward shortly after reward allocation has taken place.
How to participate. The first 450 trade customers (in totality across all hampers) who purchase any promoted product(s) to
the value of $3,500 or above (exclusive of GST) on a single invoice from BNT that includes a $199 consumable pack in the promotional period are eligible to receive the Southern Pride Hamper
Or
the value of $2,500 or above (exclusive of GST) on a single invoice from BNT that includes a box of any grease (12 pack) in the promotional period are eligible to receive the Freezer Filler Hamper
Or
the value of $2,000 or above (exclusive of GST) on a single invoice from BNT that includes either 12 Wesfil Filters or 2x Brembo Rotors in the promotional period are eligible to receive the Entertainer Hamper
- The first 450 customers will be determined by date and time code in the promotor’s system.
- Hampers are limited to a maximum of two per customer in total.
- Delivery of the reward will take place after the Reward Allocation Date. Participants will be notified by email or phone call. Prize reward code will be emailed to the customer after notification.
- Bapcor reserves the right to change reward delivery dates, and a participant will be advised of any changes if/when they occur.
- If a Reward is damaged or defective, participants should contact a. Email: marketing@bapcor.co.nz.
- Rewards are non-transferable, non-exchangeable, and cannot be redeemed for cash or any other alternative.
- Rewards cannot be redeemed during the Promotion Period.
- In the event that a Reward is unavailable, the Promoter reserves the right to offer a substitute Reward.
- The hamper packs may vary due to availability of selected food product, and images shown may not be the exact representation of the product.
- Bapcor shall not be liable for any allergic reactions or health related issues resulting from the failure to check food product labels for allergens or other ingredients.
- Bapcor and the distributor will strive to ensure that the weights of the food products included in the promotional reward packs match the description provided in our promotional material, actual weights may vary.
- Final Reward allocation is subject to credits/returns being processed against a participant’s account.
- The Promoter reserves the right to refuse credits should it determine purchases were not made in the spirit of the promotion.
- If any provision of these Terms and Conditions are found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
- Nothing in these Terms and Conditions restricts, excludes or modifies any consumer rights under the Fair-Trading Act 1986 and the Consumer Guarantees Act 1993.
Our Liability
- "Hamper Promotion", the Manager, and Bapcor make no representations in relation to the tax consequences of participation in the "Hamper Promotion". The participant must not rely upon statements or representations that may be made.
- Neither "Hamper Promotion", the Manager nor Bapcor accepts any liability for any current or future taxation requirement that may be imposed on any participant.
- To the full extent permitted by law, the Manager, Bapcor and their agents and contractors exclude all liability for any loss, damage, claim, injury, cost, or expense suffered or incurred by any person in connection with the "Hamper Promotion", including, but not limited to:
◦ Any indirect, economic, or consequential loss.
◦ Any loss arising from the negligence of "Hamper Promotion", the Manager, or Bapcor.
◦ Any liability for personal injury or death.
◦ Any illness, allergic reaction, or injury arising from the consumption of food provided as part of the "Hamper Promotion". - "Hamper Promotion", the Manager, Bapcor and their agents and contractors assume no responsibility for:
◦ any error, omission, interruption, or delay in the operation or transmission of any communication sent to (or by) "Hamper Promotion" or any participant whether caused by problems with communication networks or lines, computer systems, software or internet service providers, congestion on any carrier network or otherwise; or
◦ any theft, destruction, or unauthorised access to, or alteration of such communications; or
◦ any problem with, or technical malfunction of, any computer system or other equipment used for the conduct of the "Hamper Promotion". - If for any reason the promotion is cancelled, Bapcor will offer alternatives at their sole discretion, as determined by Bapcor. Bapcor is the sole decider of whether the promotion can go ahead or not.
Participant Obligations
- The Participant must take their own legal and accounting advice in relation to their participation in the "Hamper Promotion", in particular, in relation to current and future tax consequences of being a participant in the "Hamper Promotion" and of redeeming Rewards.
- Promotion rewards are to be provided to the legal entities purchasing Bapcor goods required to reach purchase target.
- Participants are responsible to pay all tax imposed in relation to the participation in the "Hamper Promotion" if required.
- Participants are responsible for ensuring any details provided to the "Hamper Promotion", the Manager, or Bapcor are correct.
Disputes
- In the case of any dispute and/or any matters pertaining to the "Hamper Promotion", the decision of Bapcor will be final.
- If the participant disagrees with any details of the "Hamper Promotion" spend balance, contact the manager in the first instance. Bapcor will investigate the disagreement and report back with the result of the investigation as soon as practicable. If we establish that a mistake did occur, we will correct it.
Changes to Terms and Conditions
- "Hamper Promotion", the Manager, and Bapcor reserve the right to change the reward procedures at any time. All participants will be advised of any changes if/when they occur.
- "Hamper Promotion", the Manager, and Bapcor reserve the right to change the rewards at any time. All participants will be advised of any changes if/when they occur.
- "Hamper Promotion", the Manager, and Bapcor reserve the right to change/amend these Terms and Conditions at any time.
- "Hamper Promotion", the Manager, and Bapcor reserve the right to change/amend the "Hamper Promotion" at any time.
Governing Law and Jurisdiction:
- These Terms shall be governed by and construed in accordance with the laws of New Zealand.
- Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of New Zealand
Changes to or Termination of Participants involvement of "Hamper Promotion"
Without notice
- Bapcor may terminate the participants involvement in "Hamper Promotion", without notice and for any reason, including forfeiture of any rewards, including if the participant:
◦ fails to comply with these Terms and Conditions; or
◦ Supplies any misleading information or makes any misrepresentations to "Hamper Promotion" in connection with the "Hamper Promotion"; or
◦ abuses any privilege accorded to the participant under the "Hamper Promotion"; or
◦ does not spend at Bapcor or its subsidiaries or Business Units; or
◦ dies or becomes bankrupt; or
◦ is placed into liquidation or receivership; or
◦ Any breach of requested and acknowledged confidentiality pertaining to the Promotion; or
◦ Suspicion of fraud; or
◦ Failure to operate in good faith; or
◦ Non-payment of any overdue accounts related to the participants “Hamper Promotion” account.
Statements and Notices
- Participants agree to receive notifications from Bapcor New Zealand and any of its subsidiary businesses (BNT, Autolign, and Truck & Trailer Parts).
- Expect to receive emails from us at the address provided. We respect participants time and inbox space; therefore, we commit to transparency: Our emails will clearly identify Bapcor or its subsidiary businesses (BNT, Autolign, and Truck & Trailer Parts) as the sender, and the subject lines will accurately reflect the content of the email.
- Consent: Participants are receiving these emails because they have expressly provided an email address and consented to receive communications from us.
- Unsubscribe Option: Every marketing email we send will include a conspicuous and easy-to-use "unsubscribe" link, providing the option of unsubscribing from Bapcor email communications at any time. Once unsubscribed, participants will no longer receive marketing emails from us.
- Security: We take the security of data seriously and employ industry-standard measures to protect it.
- If at any time the participant wishes to change email preferences or has any questions about our email marketing practices, please contact us at marketing@bapcor.co.nz. Participant feedback is important to us, and we are committed to delivering a positive email experience.
- By continuing to receive our emails, the participant acknowledges and accepts the terms and conditions outlined in this disclaimer.
- Participants may opt out of receiving notifications related to the Promotion by written request directed to: "Hamper Promotion" Manager, "Hamper Promotion" Private Bag 93529, Takapuna, Auckland 0740, or via email to marketing@bapcor.co.nz.
- Bapcor will not be responsible for correspondence lost or delayed through mail or email. The participant is responsible for advising Bapcor of any change of email or address.
Confidentiality of Participant Information
- Personal information about participants may be collected by Bapcor. This information will be used by Bapcor for marketing purposes, planning and research. Participants may, under the provisions of the Privacy Act 1993, request access to and have corrected their personal information held by Bapcor. These requests must be in writing to Bapcor Marketing, "Hamper Promotion", Private Bag 93529, Takapuna, Auckland, or via email to marketing@bapcor.co.nz.
- Participants names and details may be used by Bapcor for promotional purposes and the participant agrees to participate in any publicity that the "Hamper Promotion", the Manager, or Bapcor may reasonably require.
- We may disclose any or all of the participants information to any organisation associated with the Promotion for the promotional, research or marketing purposes of those Rewards Supplier or other organisations. When the participant is dealing with us by telephone the call may be recorded for verification or training purposes.
Miscellaneous
- All "Hamper Promotion" enquiries must be directed to "Hamper Promotion" Programme Manager marketing@bapcor.co.nz Instructions appearing on any and all literature form part of these Terms and Conditions.
- Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
- Bapcor NZ Ltd normal terms of trade apply.
